Purpose: these terms govern the purchasing intermediation, sourcing, supplier consultation, audit and quality follow-up services performed by the provider for the professional client.

Status of the provider: the provider acts as an independent intermediary. Save under a separate written mandate, it does not substitute for the client in the sale contract concluded with the supplier, and is therefore neither seller nor guarantor of the goods delivered.

Obligations: the provider owes a reinforced best-efforts obligation on the qualification of the suppliers proposed. It guarantees neither a price level nor the availability of production capacity on a given date.

Fees: fixed fee per assignment, subscription, or a percentage of the saving measured against a reference base validated in writing before the assignment starts. The provider receives no commission whatsoever from the suppliers canvassed.

Confidentiality: technical documents provided remain the client’s property. They are disclosed to a supplier only after signature of a non-disclosure agreement, and anonymised if the client so requests.

Liability: the provider’s liability is limited to the fees received for the assignment concerned. Indirect damages, in particular loss of production and penalties owed to the client’s own customers, are excluded.
